By accessing or using Aperifi ("Aperifi", "the Service", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all users of the Service, including visitors, registered users, and any other parties who access or use the Service.

2. Service Description

Aperifi is a market intelligence platform that provides:

• Real-time and delayed market data, stock quotes, and financial news aggregation
• Portfolio tracking and performance analytics tools
• A practice trading simulator using virtual (paper) currency
• Stock screeners, charting tools, and earnings calendars
• A community chat room for signed-in users to share takes and discuss the market
• Educational content on markets and trading

The Service is provided for informational and educational purposes only. Market data is sourced from third-party providers and may be delayed or inaccurate.

3. Financial Disclaimer

Aperifi does not provide investment, financial, legal, or tax advice. All content, tools, data, and features are for informational and educational purposes only.

Nothing in the Service constitutes a recommendation, solicitation, or offer to buy or sell any security, financial instrument, or investment product. You should consult a qualified financial advisor before making any investment decisions.

We are not a registered investment advisor, broker-dealer, or financial institution. We are not regulated by the SEC, FINRA, or any other financial regulatory authority.

4. User Accounts

4.1 Registration

To access certain features you must create an account. You agree to provide accurate, current, and complete information and to keep it updated.

4.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized access.

4.3 One Account Per Person

You may maintain only one account per person. Creating multiple accounts to circumvent restrictions or bans is prohibited.

4.4 Age Requirement

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Service. By registering, you represent that you meet this requirement.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• Scrape, crawl, or systematically extract data from the Service without our express written permission
• Attempt to reverse engineer, decompile, or disassemble any part of the Service
• Interfere with or disrupt the Service, its servers, or networks
• Use the Service to distribute spam, malware, or other harmful content
• Impersonate any person or entity, or misrepresent your affiliation
• Post content that is defamatory, fraudulent, abusive, or harassing
• Manipulate or attempt to manipulate market data or prices displayed on the platform
• Use automated scripts or bots to interact with the Service beyond normal use

6. Practice Trading

The practice trading feature uses entirely virtual currency with no real monetary value. Practice trading results do not predict, guarantee, or reflect real-world trading performance. The simulator may not accurately reflect real market conditions including slippage, liquidity, transaction costs, and order execution.

Virtual balances and positions have no cash value and cannot be withdrawn, transferred, or converted to real currency.

7. Intellectual Property

The Service and its original content (excluding third-party data and user-generated content) are and will remain the exclusive property of Aperifi and its licensors. Our trademarks and trade dress may not be used without our prior written consent.

You may not copy, reproduce, distribute, or create derivative works based on the Service without our express written permission.

7.1 User-Generated Content

By posting content to the community chat or other public areas of the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with operating the Service.

8. Third-Party Data and Services

Market data is provided by third-party sources including but not limited to Yahoo Finance and other data vendors. This data may be delayed, inaccurate, or incomplete. We make no warranties regarding the accuracy or completeness of third-party data.

The Service may contain links to third-party websites. We are not responsible for the content, privacy practices, or availability of those sites.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. Market data may be delayed and should not be used for time-sensitive trading decisions.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ATLAS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

In no event shall our total liability to you exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) one hundred dollars ($100).

11. Indemnification

You agree to indemnify and hold harmless Aperifi and its officers, directors, employees, and agents from any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or violation of any third party's rights.

12. Termination

We may suspend or terminate your account and access to the Service at any time, for any reason, including violation of these Terms. Upon termination, your right to use the Service ceases immediately.

You may delete your account at any time via Account Settings. Upon deletion, your personal data will be removed in accordance with our Privacy Policy.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date at the top of this page and, where appropriate, by email notification. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the United States, without regard to conflict-of-law principles. Any disputes arising under these Terms will be resolved in the federal or state courts located in the operator's home state, and you consent to that venue.
